Terms & Conditions
Effective date: 18 February 2026
Welcome to Advencha. Please read these Terms of Use carefully. By accessing or using the Advencha website (the "Site"), you agree to be bound by these terms. If you do not agree, please do not use the Site.
1. Who we are
The Site is operated by Advencha Ltd ("Advencha", "we", "us", or "our"), a company incorporated in England and Wales. Advencha is a pre-launch company. No products or services are currently available for purchase, and the Site is provided for informational purposes and to allow visitors to register their interest.
2. Acceptance of terms
By using the Site, submitting any form, or registering your interest in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. We may update these terms from time to time. Continued use of the Site following any changes constitutes your acceptance of the revised terms. We will indicate the effective date at the top of this page.
3. Use of the Site
The Site is intended for personal, non-commercial use. You agree not to: reproduce, duplicate, copy, sell, or otherwise exploit any portion of the Site without our express written permission; use the Site for any unlawful purpose or in violation of any applicable law; attempt to gain unauthorised access to any part of the Site or its related systems; or interfere with or disrupt the integrity or performance of the Site.
4. Your content and information
When you submit information through the Site — including your name, email address, interests, and any investment-related details — you grant Advencha the right to store, process, and use that information for the purposes described at the point of collection. Specifically, we may use your information to send you our newsletter, contact you regarding investment opportunities, and improve the Site and our services. We will not sell your personal information to third parties. You may request deletion of your data at any time by emailing legal@advencha.co. For full details on how we handle your data, please see our Privacy Policy.
5. Investment interest — important disclaimers
The Site allows visitors to register an expression of interest in potential future investment opportunities with Advencha. This section is particularly important and you should read it carefully.
No offer of securities. Nothing on this Site constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation of any security, financial product, or investment advisory service. Expressions of interest submitted through this Site are entirely non-binding and do not create any legal or financial obligation on either party.
No financial or investment advice. The content on this Site is provided for general informational purposes only and does not constitute financial, investment, legal, or tax advice. You should consult an independent financial adviser, accountant, or solicitor before making any investment decision. Investment in early-stage companies carries significant risk, including the potential loss of your entire investment.
Forward-looking statements. The Site may contain forward-looking statements about Advencha's plans, objectives, and expectations. These statements involve known and unknown risks, uncertainties, and other factors that may cause actual results to differ materially from those expressed or implied. We make no guarantee regarding future performance, revenue, or returns.
Future investment terms. Any future investment opportunity will be governed by its own separate legal documentation, including but not limited to a term sheet, shareholders' agreement, and subscription agreement. Nothing on this Site forms part of, or should be relied upon in connection with, any such future documentation.
6. SEIS and EIS tax relief
References on this Site to the Seed Enterprise Investment Scheme (SEIS) or Enterprise Investment Scheme (EIS) are provided for informational purposes only. Eligibility for SEIS/EIS tax relief depends on individual circumstances and is subject to HMRC rules, which may change at any time. Advencha does not warrant or guarantee that it currently holds, or will obtain or maintain, SEIS or EIS advance assurance. Tax treatment depends on the individual circumstances of each investor and may be subject to change in the future. You should consult a qualified tax adviser before making any investment decision based on potential tax relief.
7. Intellectual property
All content on the Site — including but not limited to text, graphics, logos, icons, images, typography, and the underlying code — is the property of Advencha Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws of England and Wales and international treaties. The Advencha name, logo, and all related marks are trademarks of Advencha Ltd. You may not use, reproduce, modify, distribute, or create derivative works from any content on the Site without our prior written consent.
8. Third-party links and services
The Site may contain links to third-party websites or services that are not owned or controlled by Advencha. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any third party. Your use of third-party websites is at your own risk and subject to their terms and conditions.
9. Disclaimers and limitation of liability
The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Advencha does not warrant that the Site will be uninterrupted, secure, or error-free, or that any defects will be corrected.
To the maximum extent permitted by applicable law, in no event shall Advencha Ltd, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from: your access to or use of (or inability to access or use) the Site; any conduct or content of any third party on the Site; any content obtained from the Site; or unauthorised access, use, or alteration of your transmissions or content.
10. Indemnification
You agree to defend, indemnify, and hold harmless Advencha Ltd and its directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses arising from: your use of and access to the Site; your violation of any term of these Terms of Use; or your violation of any third-party right, including without limitation any intellectual property or privacy right.
11. Governing law and disputes
These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions. Any dispute arising out of or in connection with these terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these terms shall limit or exclude any liability that cannot be limited or excluded under applicable law.
12. Severability
If any provision of these Terms of Use is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
13. Changes to these terms
We reserve the right to modify or replace these Terms of Use at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
